1. Scope of Services
Wellington Cowork provides:
Coworking memberships and day-use passes
Private office rentals
Virtual mailbox and business address services
Event and commercial space rentals
Access to related facilities, amenities, and digital platforms
2. Membership & Applications
Membership is by application only and may be accepted or declined at our sole discretion.
All members must agree to comply with our Code of Conduct and community rules.
Membership is non-transferable.
Wellington Cowork reserves the right to revoke membership for breaches of these Terms, disruptive behavior, or non-payment.
3. Private Offices & Workspace Use
Offices are licensed for use, not leased; no tenancy rights are created.
Members may not sublet or assign their office to others without written approval.
Offices must be used for lawful business purposes only.
Members are responsible for the conduct of their employees, contractors, or guests.
Any damage beyond normal wear-and-tear will be charged to the member.
4. Virtual Mailbox Services
Identity verification and government-issued ID are required under Canada Post and CRA compliance.
Wellington Cowork will only accept mail and packages addressed to the name(s) provided at signup.
Prohibited uses: fraudulent businesses, illegal activities, mail forwarding without disclosure, or misrepresentation.
Unclaimed mail after 90 days may be returned to sender or securely destroyed.
We are not responsible for delays, loss, or errors by third-party carriers.
5. Event & Commercial Rentals
Event bookings require a signed rental agreement and deposit.
External events must comply with building regulations, occupancy limits, and insurance requirements.
The organizer is responsible for guest conduct and damages.
Noise, alcohol, and catering are subject to prior approval.
Wellington Cowork may cancel events for safety, legal, or community reasons (with refund of unused fees).
6. Payments & Fees
Membership fees, office licenses, mailbox services, and event rentals must be paid in advance.
Accepted payment methods: credit card, EFT, or approved invoicing.
Late payments may incur fees, suspension of services, or account termination.
All fees are subject to applicable HST (Ontario).
We reserve the right to adjust pricing with 30 days’ written notice.
7. Cancellations & Refunds
Memberships may be canceled with written notice per your agreement (typically 30 days).
Private office agreements require notice as specified in the individual contract.
Virtual mailbox services are prepaid and non-refundable.
Event deposits are refundable only if cancellation occurs within the agreed timeline.
8. Conduct & Community Standards
Members and guests must act respectfully and professionally at all times.
Harassment, discrimination, or disruptive behavior will not be tolerated.
Illegal or unsafe activities are strictly prohibited.
Meeting rooms, phone booths, and common areas must be used as intended.
Excessive noise or misuse of amenities may result in suspension or termination.
9. Access & Security
Members will be provided digital or physical access credentials (e.g., Kisi).
Access may not be shared with non-members.
For security, Wellington Cowork may use CCTV monitoring in common areas (never in private offices, washrooms, or meeting rooms).
Lost or stolen access credentials must be reported immediately; replacement fees may apply.
10. Liability & Disclaimer
Members use our facilities at their own risk.
Wellington Cowork is not responsible for:
Personal property theft or loss.
Internet downtime or technical failures beyond our control.
Third-party service providers (mail carriers, payment processors, etc.).
To the maximum extent permitted by Ontario law, our liability is limited to the fees paid for the affected service.
11. Insurance
Members are responsible for their own business, property, and liability insurance.
Wellington Cowork maintains general commercial insurance but does not insure members’ personal or business property.
12. Termination
We may suspend or terminate services immediately if:
Fees remain unpaid beyond agreed terms.
Members breach these Terms or the Code of Conduct.
Illegal or fraudulent activity is suspected.
Member conduct poses a risk to safety, community standards, or reputation.
13. Amendments
We may update these Terms periodically. Updates will be posted on our website with a new “Last Updated” date. Continued use of services indicates acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes shall be resolved in Ottawa, Ontario.
